Terms of engagement
These terms apply to advisory audit engagements commissioned from Clearwater Risk Review via secureautorout.digital.
Acceptance
By requesting a proposal, paying a deposit, or signing an engagement letter, you accept these terms and any special conditions stated in that letter. If conflict arises, the signed engagement letter prevails for that matter.
Services
We provide independent risk review, assessment, and briefing services for fintech operators. Deliverables are advisory findings and recommendations. We do not issue certifications of compliance, legal opinions, or licences.
Client responsibilities
You must provide accurate information, timely access to evidence, and a named liaison. Delays in evidence may extend calendars without reducing fees already earned for work performed.
Intellectual property
Working papers remain our property. The final memorandum is licensed to you for internal use and for sharing with named regulators or partner banks identified in the engagement letter. Republishing extracts for marketing requires prior written consent.
Confidentiality
Each party will protect non-public information received during the engagement and use it only to perform or receive the services, except where disclosure is required by law.
Fees and payment
Fees are as stated in the proposal. Deposits reserve calendar space. Invoices are payable within fourteen days unless otherwise agreed. Late sums may accrue simple interest at the maximum rate permitted under Taiwan law.
Liability
Our aggregate liability arising from an engagement is limited to the fees paid for that engagement, except where liability cannot be limited under applicable law. We are not liable for indirect or consequential loss, lost profits, or decisions made solely on the basis of our advisory findings without your own management judgement.
Independence
We reserve the right to decline or withdraw from work that would impair independence or exceed agreed scope.
Governing law
These terms are governed by the laws of Taiwan (Republic of China). Courts in Taiwan have exclusive jurisdiction over disputes arising from these terms, without prejudice to mandatory consumer protections that may apply.
